SUMMARY OF PROPOSED CHANGES TO CURRENT BYLAWS, 9-20-05

1. Proposed change to Article IV: Corrects the mailing address.

2. Proposed change to Article V, Section A: Requires that members be at least 15 years of age. (The current bylaws allow any person of any age to become a member of the association. Proponents of the change felt that the current bylaws were too broad and allowed arguably uninformed or inappropriate participation.)

3. Second proposed change to Article V, Section A: Removes employees of businesses, institutions, organizations, etc., from membership eligibility. (In addition to allowing businesses, etc., to become members of the association, the current bylaws allow all employees of businesses, etc., to belong to the association whether or not they live in the area. Proponents of the change felt that the current bylaws were too broad and had the potential of diluting the voting strength of people who live in the area.)

4. Proposed change to Article V, Section B: Clarifies what businesses, etc., need to do to become members.

5. Proposed change to Article V, Section D: Creates a mechanism for people and businesses who do not meet the eligibility requirements but who have a legitimate and continuing interest in the association to become members. (Proponents of the change felt that this provision balanced out the proposed restrictions listed above as items 2 and 3, and kept the association open to all genuinely interested persons.)

6. Proposed change to Article VII, Section F: Changes the quorum requirements for Board meetings from 5 out of 10 members to a "simple majority." (This will allow the Board to continue to function when there are vacancies on the Board, a frequent occurrence with this volunteer group.)

7. Proposed change to Article VIII, Section B: Clarifies that each person gets one vote and each business, etc., gets one vote.
